Agreement to Terms

By accessing or using Contextium, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service.

Description of Service

Contextium is a cloud-based documentation platform that allows users to create, store, manage, and collaborate on documents with version control. We provide:

  • Document creation and management with rich text editing
  • Team collaboration tools (comments, suggestions, mentions)
  • Version control and document history tracking
  • File storage and organization with folders and projects
  • Workspace management with role-based permissions
  • Third-party integrations (Slack notifications)
  • User feedback system for bug reports and feature requests
  • Search functionality across documents
  • Email notifications for team activity

Account Registration

To use Contextium, you must:

  • Be at least 16 years old
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept full responsibility for all activities under your account

Authentication Methods

You may register and sign in using:

  • Email and Password: Direct registration with Contextium
  • Google OAuth: Sign in with your Google account
  • GitHub OAuth: Sign in with your GitHub account

When using third-party authentication (OAuth), you agree to the terms and privacy policies of those providers. We receive only the minimum information necessary to create and maintain your account.

You may not share your account credentials or allow others to access your account. You are responsible for all activities that occur under your account.

Subscription Plans

Free Tier

Our Starter plan is free and includes basic features with usage limits. We may modify or discontinue the free tier at any time with 30 days notice.

Paid Plans

Professional and Business plans are billed monthly or annually. By subscribing to a paid plan:

  • You authorize us to charge your payment method
  • Subscriptions automatically renew unless cancelled
  • Prices are subject to change with 30 days notice
  • Refunds are provided only as required by law

Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation, you will retain access until the end of your current billing period.

EU Consumers: You have a 14-day right of withdrawal for new subscriptions (see "EU Consumer Rights" section below). For cancellations after this period, refunds are provided only as required by law or if the service has not been provided as described.

Business Users: No refunds will be provided for partial billing periods after the 14-day withdrawal period, except where required by law.

Third-Party Integrations

Contextium offers integrations with third-party services to enhance functionality:

Slack Integration

You may connect your Contextium workspace to Slack to receive notifications. By enabling this integration, you authorize Contextium to send messages to your Slack workspace on your behalf. You are responsible for managing which Slack channels receive notifications and for complying with your organization's Slack policies.

Payment Processing

All payments are processed through Stripe. We do not store credit card information. By subscribing to a paid plan, you agree to Stripe's terms of service and privacy policy.

Email Delivery

Transactional emails (notifications, invitations, password resets) are sent via Resend. We use this service to ensure reliable email delivery and track delivery status.

Acceptable Use

You agree NOT to use Contextium to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Upload malware, viruses, or harmful code
  • Harass, abuse, or harm others
  • Impersonate others or misrepresent your affiliation
  • Spam or send unsolicited communications
  • Interfere with the service or other users
  • Attempt to gain unauthorized access to systems
  • Use automated tools to access the service (except our official API)
  • Resell or redistribute the service

Violation of these terms may result in immediate termination of your account.

Your Content

Ownership

You retain all ownership rights to the content you upload to Contextium. We do not claim ownership of your documents, files, or data.

License to Us

By uploading content, you grant us a limited license to store, process, and display your content solely for the purpose of providing the service to you. This license ends when you delete your content or account.

Responsibility

You are solely responsible for your content and must ensure you have the right to upload and share it. We do not monitor or review user content, but we may remove content that violates these terms.

Feedback and Bug Reports

When you submit feedback, bug reports, or feature requests through our feedback system, you grant us a perpetual, irrevocable, worldwide license to use, modify, and incorporate your feedback into our service without compensation or attribution. This helps us improve Contextium for all users.

Intellectual Property

Contextium and its original content, features, and functionality are owned by Contextium and are protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our service without our explicit written permission.

Data Protection and Privacy (GDPR)

Your use of Contextium is also governed by our Privacy Policy. We are committed to protecting your data and complying with the General Data Protection Regulation (GDPR) and other applicable data protection laws.

Our Commitments

  • Encrypt data in transit (TLS/HTTPS) and at rest (AES-256)
  • Maintain regular backups
  • Never sell your personal data to third parties
  • Process data only for legitimate purposes with lawful basis
  • Implement appropriate technical and organizational security measures
  • Notify you of data breaches within 72 hours as required by GDPR

Your GDPR Rights

Under GDPR, you have the following rights regarding your personal data:

  • Right of Access (Article 15): Request access to your personal data
  • Right to Rectification (Article 16): Correct inaccurate personal data
  • Right to Erasure (Article 17): Request deletion of your personal data ("right to be forgotten")
  • Right to Restriction (Article 18): Restrict processing of your personal data
  • Right to Data Portability (Article 20): Receive your data in a structured, machine-readable format
  • Right to Object (Article 21): Object to processing of your personal data
  • Right to Withdraw Consent (Article 7): Withdraw consent at any time
  • Right to Lodge a Complaint: File a complaint with your local data protection authority

Data Controller and Processor

Contextium acts as the data controller for your account information and as the data processor for content you upload. You remain the data controller for content you create and share.

However, you are responsible for maintaining your own backups of critical content. While we maintain regular system backups, we are not liable for any data loss.

Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. We may:

  • Experience downtime for maintenance or upgrades
  • Modify or discontinue features with notice
  • Limit usage to prevent abuse

We aim for 99.9% uptime but are not liable for service interruptions.

Termination and Account Deletion

Account Deletion by You

You may delete your account at any time from your account settings. When you request account deletion:

  • Your account enters a 90-day grace period during which it is deactivated but not permanently deleted
  • You can cancel the deletion and reactivate your account within this 90-day period
  • After 90 days, your account and all associated data will be permanently deleted
  • You can request immediate deletion by contacting support@contextium.io

During the grace period, your data is not accessible to you or other users, but is retained in our systems to allow reactivation. This grace period complies with GDPR requirements while protecting against accidental deletion.

Termination by Us

We may terminate or suspend your account immediately, without prior notice, if you:

  • Violate these Terms of Service
  • Fail to pay for a paid subscription
  • Engage in fraudulent or illegal activity
  • Abuse the service or harm other users

Before termination for non-payment, we will provide reasonable notice and opportunity to resolve the issue. Upon termination for cause, you may request a data export within 30 days.

Service Warranties and Disclaimers

For EU Consumers: Under EU law, we are required to provide services that comply with the contract. Digital content and services must be as described, fit for the purpose for which they are intended, and of satisfactory quality. If the service is faulty, you have legal rights including repair, replacement, price reduction, or refund.

For Business Users: To the extent permitted by law, Contextium is provided "as is" and "as available" without warranties beyond those required by law, including but not limited to:

  • Specific performance characteristics or fitness for every particular purpose
  • Error-free or uninterrupted operation
  • Correction of all defects immediately

We will make reasonable efforts to maintain service availability and fix reported issues, but cannot guarantee that the service will meet all specific requirements or that all defects will be immediately corrected.

Limitation of Liability

Important: Nothing in these Terms shall exclude or limit our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited under EU law

Subject to the above, and to the maximum extent permitted by law, Contextium shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, data, or goodwill
  • Service interruption or system failure
  • Cost of substitute services
  • Any damages arising from your use of the service where you have not followed our guidance

For business users, our total liability for any claims arising from these Terms shall not exceed the amount you paid us in the 12 months before the claim, or €100, whichever is greater.

For consumers in the EU, this limitation does not affect your statutory rights under consumer protection law, including your right to claim damages for defective services.

Indemnification

You agree to indemnify and hold harmless Contextium and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the service
  • Your violation of these terms
  • Your violation of any rights of another party
  • Your content

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the European Union and the laws of [Your EU Country], without regard to its conflict of law provisions.

Dispute Resolution

In the event of a dispute, we encourage you to contact us first at legal@contextium.io to seek an amicable resolution. If we cannot resolve the dispute informally, you have the right to:

  • Bring proceedings in the courts of your EU member state of residence
  • Use the European Commission's Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr
  • Seek mediation through a recognized alternative dispute resolution body

Nothing in these Terms affects your statutory rights as a consumer under EU law, including your right to take legal action in the courts.

EU Consumer Rights

If you are a consumer in the European Union, you have specific rights under EU consumer protection law that cannot be waived by contract:

Right of Withdrawal (14-Day Cooling Off Period)

For new paid subscriptions, you have the right to withdraw from your purchase within 14 days without giving any reason. To exercise your right of withdrawal, you must inform us of your decision by contacting support@contextium.io.

If you have already used the service during this period and then withdraw, we may charge you a proportionate amount for the services provided up until you communicated your withdrawal.

Legal Guarantee

Under EU law, digital content and services must be as described, fit for purpose, and of satisfactory quality. If our service is faulty, you are entitled to a repair or replacement, or if this is not possible or would cause disproportionate inconvenience, a price reduction or refund.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of material changes by email or through the service. Continued use after changes constitutes acceptance of the new terms.

You should review these terms periodically. The "Last updated" date at the top indicates when these terms were last revised.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Contextium regarding your use of the service.
